2019 ABA Business Law Section Spring Meeting

The American Bar Association hosts the Business Law Section spring meeting from March 28-30, 2019 in Vancouver. Several Morris Nichols partners will attend the conference as committee leaders and speakers, sharing insights on M&A, private equity and venture capital, and alternative entities.

Morris Nichols partner Eric Klinger-Wilensky chairs the Private Equity and Venture Capital committee. He will be joined by Andy Johnston on Thursday, March 28 to present the PEVC committee program, “Delaware Hodgepodge: A Review of Frequent Questions Delaware Law Practitioners Receive Regarding Private Equity and Venture Capital.”

Also on Thursday, Tarik Haskins speaks in the Middle Market and Small Business (“MMSB”) program, “Start Smart 2.0: Advising Start-ups on Formation and Early Operational Issues.” He will discuss choice of entity, Delaware entity building blocks and LLCs. During the MMSB committee meeting Friday, Tarik will provide an introduction to Delaware’s recently adopted divisive merger statute.

On Friday morning, Lou Hering presents the annual “LLC Case Law Update” for the LLC’s Partnerships and Unincorporated Entities committee, with emphasis on Delaware developments.

Meanwhile Friday morning, Rick Alexander will speak at the Nonprofit Organizations committee program, “Cross Border Social Enterprises and Social Responsibility: Benefit Corporations, Social Enterprises, and Corporate Social Responsibility in the States and Canada.”

Also Friday morning, Tarik Haskins will co-chair the Secured Lending and Secured Transactions joint subcommittee meeting. And Don Parsons will speak in the business and corporate litigation committee program, Comparing and Contrasting the Role of and Standards for Independent Directors in M&A.

On Friday afternoon, Morris Nichols partner Patricia Vella co-chairs the Acquisitions of Public Companies subcommittee meeting and co-chairs the MBCA Implementation and Outreach Task Force. Melissa DiVincenzo will speak at the MBCA program, “Ratification of Defective Corporate Acts -- Delaware, the Model Business Corporation Act and Beyond.”

Later Friday afternoon, Patricia will speak at the M&A committee program, Ten Tips on Board Oversight of M&A Transactions - Governance Handbook Comes to The Rescue!

On Saturday, Don Parsons speaks in the Corporate Governance committee program, “Problems with Governance in Controlled Public Companies: Dual Class Structures and Other Issues.” Don also serves as chair of the Business Law Advisors committee.
