Strafford Webinar: M&A Key Delaware Rulings and Recent Developments

Patricia O. Vella, Morris Nichols Delaware Corporate Law Counseling Group partner, will serve as a speaker for the Strafford Webinar/Teleconference panel entitled, M&A Key Delaware Rulings and Recent Developments, to be broadcast on Thursday, April 18, 2013, 1:00 - 2:30 p.m. EDT.

The 90-minute CLE program will provide guidance on principles from key 2012 Delaware court decisions and other developments to M&A and corporate governance practice. The panel will discuss confidentiality and standstill agreements, D&O rights and duties, forum selection bylaws, and standards of review.

The panel will review these and other key questions:

  • How is the Delaware court addressing fiduciary duties in the M&A context?
  • What are the recent developments concerning interpretation of contract terms?
  • What is the anticipated impact of new Rule 5.1?

Following the speaker presentations, participants will have an opportunity to get answers to specific questions during an interactive Q&A.

Patricia will be joined on the panel by Michael D. Allen from Richards Layton & Finger, P.A. and Samuel T. Hirzel, from Proctor Heyman LLP.
