Strafford Webinar: M&A Agreements: Limitations on Contractual and Extra-Contractual Liabilities 2013
Patricia O. Vella, Morris Nichols Delaware Corporate Law Counseling Group partner, will serve as a speaker for the Strafford Webinar/Teleconference panel entitled, M&A Agreements: Limitations on Contractual and Extra-Contractual Liabilities, to be broadcast on Tuesday, December 10, 2013, 1:00 - 2:30 p.m. EST.
This 90-minute CLE program will prepare deal counsel to craft contract language to maximize the seller's likelihood of enforcement of the exclusive remedy provision in the contract, minimizing risk to the seller of contractual and extra-contractual post-closing liability in mergers and acquisitions. The panel will discuss how courts have analyzed different limitation on liability provisions and how the provisions affect buyers and sellers.
The panel will review these and other key questions:
- What are best practice strategies for limiting contractual and extra-contractual liabilities when drafting M&A agreements?
- How have the courts analyzed exclusive remedy and extra-contractual representation and waiver provisions in merger and acquisition contracts?
- How can parties achieve protection from extra-contractual liabilities during the negotiation process?
Following the speaker presentations, participants will have an opportunity to get answers to specific questions during an interactive Q&A.
Patricia will be joined on the panel by Byron F. Egan, from Jackson Walker LLP, and Glen D. West, from Weil, Gotshal & Manges LLP.
