Weinberg Center 2010 Annual Corporate Governance Conference

A. Gilchrist Sparks III, Morris Nichols Corporate Litigation and Corporate Law Counseling Group of counsel, will serve as a faculty speaker and panelist at the University of Delaware’s Weinberg Center 2010 Annual Corporate Governance Conference, November 12, 2010, in Newark, Del.  The Conference will focus on corporate governance implications of the Dodd-Frank Act and the post crisis environment.

Gil will participate in a panel discussion of Harvard Professor of Law Guhan Subramanian’s article, Is Delaware’s Antitakeover Statute Unconstitutional? Evidence from 1988-2008.  The article presents evidence on whether Section 203 gives bidders a meaningful opportunity for success, suggests that its constitutionality is up for grabs, and offers specific changes to the Delaware statute that would preempt a constitutional challenge.

Professor Subramanian is among the panel participants that also include the Honorable Stephen Lamb, former Vice Chancellor of the Delaware Court of Chancery and currently a partner at Paul, Weiss, Rifkind, Wharton & Garrison LLP, Richard Hall, partner at Cravath, Swaine & Moore, and Professor Helen Bowers, Associate Professor of Finance, Alfred Lerner College of Business & Economics, University of Delaware. 

Gil was named 2010 Delaware Lawyer of the Year in Mergers & Acquisitions Law by Best Lawyers in America and was named its 2009 Delaware Lawyer of the Year in Corporate Law.  He has been described as the "dean of the [Chancery] bar" by Chambers USA:  America's Leading Lawyers for Business.  His practice concentrates on litigation and counseling arising from mergers and acquisitions and disputes relating to the governance of Delaware corporations.
