The American Bar Association hosts its 2010 annual meeting in San Francisco, Calif. from August 5-10, 2010.

Morris Nichols partners Rick Alexander and Melissa DiVincenzo will present the Corporate Laws Committee program entitled, “Is Common Stock the Preferred Security? Recent Judicial and Legislative Developments Affecting Preferred Stock” on August 6. The program will address recent changes to the MBCA that affect the rights of holders of preferred stock, and contrast these developments with the rights of preferred stockholders under recent Delaware case law. In particular, the panel will address class and series voting and appraisal rights in connection with mergers and financing transactions. The panel will also examine valuation issues implicated by “waterfall” provisions, and what duties directors have in connection with those provisions. Rick chairs Corporate Laws Committee.
