Recent Delaware Law Developments in Advancement and Indemnification: An Analytical Guide

Morris Nichols Delaware Corporate Law Counseling partner Andrew M. Johnston authored “Recent Delaware Law Developments in Advancement and Indemnification: An Analytical Guide” that appears in the current edition of NYU Journal of Law & Business.  Jeffrey Gorris of Paul, Weiss, Rifkind, Wharton & Garrison LLP and Amy L. Simmerman co-authored.

The article analyzes the flurry of recent advancement and indemnification case and statutory law in Delaware, pointing out, among other things, areas of possible divergences among judges and areas of analytical uncertainty.  The article also summarizes the broad range of issues that have been addressed in this new law, including who can receive advancement and indemnification, by whom, and under what circumstances.

The NYU Journal of Law and Business is one of NYU Law’s newest and most innovative academic journals, providing a forum for dialogue and analysis of current issues, ideas, and problems at the intersection of two dynamic fields: law and business.
