Matt advises Delaware corporations on transactional and governance matters. He regularly counsels boards of directors and committees, particularly in situations involving potential conflicts of interest.

He also advises corporations and their counsel on the technical aspects of Delaware corporate law, including in connection with mergers, asset sales and preferred stock investments.

Before joining Morris Nichols, Matt served as a judicial intern to the Honorable James T. Vaughn, Jr. of the Delaware Supreme Court. He also worked as a senior staff editor of The Tax Lawyer.
