Rick Alexander Discusses Special Committees at PLI Seminar: Going Private: Doing It Right 2009

Wilmington, DE – February 27, 2009 – Morris Nichols corporate law and M&A partner Rick Alexander served as a faculty member on the panel, The Special Committee: Not Just Window Dressing, at the Practicing Law Institute’s seminar Going Private: Doing It Right 2009 in New York City, February 26, 2009. Rick was joined by Richard Climan of Cooley Godward and Ethan Klingsberg of Cleary Gottlieb.
Attended live and via webcast by over 170 corporate and outside counsel and senior management, the seminar focused on how to attract private equity in a difficult economy to finance going private deals. Rick’s panel discussed key considerations in connection with the adoption, composition, legal protections and procedures of a special committee. His chapter contribution to the course handbook is titled Mergers and Acquisitions – A Delaware Checklist.
