Wilmington, DE – February 19, 2009 – Morris Nichols partners Andrew Johnston and R.J. Scaggs, Jr. served as faculty members at the 31st Annual Securities Regulation and Business Law Conference, February 12-13, in Dallas, Texas on a panel entitled: The Ins and Outs In Drafting MAC Clauses, Termination Rights and Other Heavily Litigated Provisions in Transactional Agreements.
Other Conference faculty members included Chief Justice Myron T. Steele of the Supreme Court of Delaware; Michelle M. Anderson, Luis A. Aguilar, Rose Linda Romero and Stephen J. Korotash from the U.S. Securities and Exchange Commission; Alan M. Buie from the U.S. Department of Justice; Joseph J. Rotunda and Denise Voigt Crawford from the Texas State Securities Board; and other leading corporate counsel and securities lawyers.
Andy and R.J. shared their insights gained from experience negotiating, drafting and litigating key provisions in merger agreements, financing agreements and other business contracts. Joining them on the panel was Michael Boone, co-founder of Haynes and Boone, LLP.
The Annual Securities Regulation and Business Law Conference is conducted by The University of Texas School of Law and is among the oldest securities-focused conferences in the country.
