The article is part of the on-line symposium discussing certain of the issues raised by Chief Justice Myron T. Steele in his article Freedom of Contract and Default Contractual Duties in Delaware Limited Partnerships and Limited Liability Companies.  Lou’s article offers observations on the role of default fiduciary duties in the operation of Delaware limited partnerships formed under the Delaware Revised Uniform Limited Partnership Act and Delaware limited liability companies formed under the Delaware Limited Liability Company Act. The focus of the article is whether, as a matter of law and sound and efficient public policy, default fiduciary duties should apply to the relationships of sophisticated parties who are actively involved in the formation of Delaware LPs and Delaware LLCs.
