Patricia O. Vella Serves as Panelist at The University of Texas School of Law’s 34th Annual Conference on Securities Regulation and Business Law

Wilmington, DE – February 22, 2012 – Patricia O. Vella, Morris Nichols Delaware Corporate Law Counseling Group Special Counsel, served as a panelist for the session entitled How Recent Fiduciary Duty Cases Affect Advice to Directors and Officers of Delaware and Texas Corporations, at The University of Texas School of Law’s 34th Annual Conference on Securities Regulation and Business Law in Dallas, Texas, on February 10, 2012.
The panel discussed the fiduciary issues that directors and officers have in the current M&A market and considered the lessons to be learned from recent decisions of courts in Delaware and Texas concerning the deference afforded boards to run a sale process; the competing interests of holders of common, preferred and debt; and the duties of controlling stockholders in a sale process. Patricia was joined by The Honorable Jack B. Jacobs, Justice, Delaware Supreme Court, Charles Henry Still from Fulbright & Jaworski L.L.P., and Byron F. Egan from Jackson Walker L.L.P.
