Bill Lafferty Speaks on Delaware Corporate Law Developments at 41st Annual Securities Regulation Institute 2009

Wilmington, DE – November 10, 2009 – Morris Nichols corporate and business litigation group partner Bill Lafferty served as Institute Faculty and spoke on the Delaware Corporate Law Developments panel at the Practicing Law Institute’s (PLI) 41st Annual Securities Regulation Institute 2009, held at the New York City Hilton, November 4-6, 2009. The seminar was simultaneously webcast live.
The panel addressed key recent developments in Delaware case law involving fiduciary duties, the status of “poison pills and puts,” proper subjects for bylaws, the “duty” of good faith, and the state of the business judgment rule. Joining Bill on the panel was Chief Justice Myron T. Steele of the Delaware Supreme Court, among others.
This year’s three-day Institute provided attendees with seminars that combined a comprehensive review of recent regulatory developments and in-depth analysis of emerging issues created by the financial crisis and its aftermath with practical solutions to securities compliance, disclosures, corporate governance, and government enforcement.
Bill’s practice involves corporate and commercial litigation, with an emphasis on cases involving mergers and acquisitions, proxy contests and consent solicitations, and shareholder class and derivative actions. His litigation practice is concentrated on cases pending in the Delaware Court of Chancery and Supreme Court. Bill also advises corporate clients and boards of directors with respect to litigation and transactional matters, including representations of special negotiating committees and special litigation committees.
