The Practising Law Institute hosts a day-long program on current venture capital market conditions and the changing legal environment on December 6, 2016 in San Francisco. Morris Nichols partner Jeff Wolters serves as faculty and presents in the closing session, “Corporate Governance and Venture-Backed Companies.” Speakers will discuss board structures and conflicts; managing board observers; down rounds, washout financings, and affiliate transaction issues; ethical dilemmas faced by counsel; and Delaware law changes.
