Eric Klinger-Wilensky and James Honaker, members of the Morris Nichols Delaware Corporate Law Counseling Group, will moderate and participate on the panel Key Issues In Negotiating Preferred Stock Investments and Exits at the Annual Meeting of the American Bar Association ("ABA") Business Law Section, August 9, 2013, at the Fairmont Hotel, San Francisco.

Through the use of a mock negotiation, the panel will explore issues associated with initial and down-round preferred stock investments, as well as exit rights for preferred stock investors.

Eric and Jim will be joined on the panel by Honorable Myron T. Steele, Chief Justice, Supreme Court of Delaware, Matthew S. Brown from Katten Muchin Rosenman LLP, John Mark Zeberkiewicz from Richards, Layton & Finger, and Scott D. Karchmer from Morgan, Lewis & Brockius LLP.

The ABA Annual Meeting is the premier gathering of legal professionals in the United States drawing over 9,000 attendees for four days of CLE programs and committee meetings.
