Delaware Law Developments 2016: What All Business Lawyers Need to Know

On August 12, 2016, the Practising Law Institute hosts its annual CLE program, “Delaware Law Developments 2016: What All Business Lawyers Need to Know.” This day-long CLE program focuses on significant Delaware corporate law developments in the past year and practical impacts on corporate or legal practice. Morris Nichols partners Lou Hering, Bill Lafferty and Tricia Vella serve as faculty.

Bill will join the session on “Recent Developments in Delaware Law” at 9:15 a.m. The panel will discuss post-closing review of third-party M&A deals, disclosure-only settlements, Section 220 litigation, entire fairness, and more.

In the second morning session at 10:15 a.m., Lou speaks on “Recent Developments with LLCs and Limited Partnerships.”  Panelists will explore default fiduciary duties in LLCS, recent cases, good faith, and standards of review.

Tricia Vella joins the noon session, “Insights from Delaware Practitioners,” where speakers will discuss compliance, special committees, deal negotiation and board documentation.
