Bill Lafferty, Morris Nichols Corporate & Business Litigation Group partner and recent inductee to the American College of Trial Lawyers, will serve as Institute Faculty and will speak on the panel Defending and Defeating Poison Pills at the Practising Law Institute (PLI) M&A Litigation 2011 seminar, April 8, 2011, in New York City.  The day-long seminar will also be simulcast live online.

Bill’s panel will discuss:

  • Unocal's Preclusiveness Standard
          Selectica v. Yucaipa; what is the correct answer?
          The policy motivating the legal test
          Acting in concert definitions and vagueness in poison pill litigation
  • “Just say no”
          Does the law allow it?

Joining Bill on the panel are the Honorable Henry duPont Ridgely, Justice of the Supreme Court of Delaware, Gary A. Bornstein, Cravath, Swaine & Moore LLP, and Theodore N. Mirvis, Wachtell, Lipton, Rosen & Katz.
