Bill Lafferty to Speak at 6th Annual Institute on Corporate, Securities, and Related Aspects of Mergers and Acquisitions

Wilmington, DE – September 4, 2009 – Morris Nichols Corporate and Business Litigation group partner Bill Lafferty will serve as Institute Faculty and speak on the panel Delaware Law Issues in M&A and Related Transactions at the 6th Annual Institute on Corporate, Securities, and Related Aspects of Mergers and Acquisitions, at the New York City Bar in New York, September 23 - 25, 2009.

The panel will address recent Delaware M&A case law involving the obligation of directors under Delaware law, disclosure issues, projections, selective disclosure and the concept of bad faith, deal-termination, and the possibility for new cases challenging the action or inaction of directors with respect to recently failed companies.  Joining Bill on the panel is the Honorable Henry duPont Ridgely, Justice of the Supreme Court of Delaware, among others.
