Rick Alexander Featured Speaker at Society of Corporate Secretaries and Governance Professionals, SE Chapter Annual Meeting - Delaware Corporate Update

Wilmington, DE – May 13, 2009 – Morris Nichols corporate law and M&A partner Rick Alexander will present Delaware Corporate Update at the Annual Meeting of the Southeastern Chapter Conference of the Society of Corporate Secretaries and Governance Professionals, at the Atlanta History Center, Atlanta, Georgia, May 15, 2009.  The program will also be presented live via web-cast.

Rick will discuss amendments to the Delaware General Corporation Law, recent case law reaffirming the business judgment rule, the Gantler decision, advance notice bylaws, rights plans and special meetings.

This year’s program features keynote speaker David Altig, senior vice president and director of research at the Federal Reserve Bank of Atlanta, and will cover a range of topics important to corporate secretaries and governance professionals, including:  a detailed discussion of compensation planning and disclosure issues in the post-TARP world; a report on internal investigation issues and strategies; and an update on Rule 452 and how it interplays with Majority Voting Standards, among other topics.

The Society of Corporate Secretaries and Governance Professionals has over 3,800 members representing approximately 2,600 companies.  Its members deal with public disclosure under the securities laws and matters affecting corporate governance, including the structure and meetings of the board of directors and its committees, the proxy process and the annual meeting of shareholders and shareholder relations, particularly with large institutional owners.
