Jay is a seasoned practitioner with years of experience litigating corporate and complex business matters at the trial and appellate levels in Delaware state and federal courts.  His practice focuses on actions in the Delaware Court of Chancery, including stockholder class actions, derivative lawsuits, contested mergers and acquisitions, contract disputes, appraisal actions, and other statutory proceedings.  Jay represents national and local companies across a wide array of industries, including companies in the financial services, technology, energy, automotive, and consulting sectors.  He also advises general partners, corporate boards, and corporate committees with respect to governance, litigation, internal investigations, and control disputes.
