Martin is a member of the Corporate and Business Litigation Group. His litigation practice focuses on mergers and acquisitions, proxy contests and consent solicitations, conflict transactions involving controlling shareholders and directors, and shareholder class and derivative actions. Martin is rated by clients and peers as a Delaware litigation star in the 2008 Benchmark Guide to America’s Leading Litigation Firms and Attorneys.
Martin is a member of the Court of Chancery Rules Committee and a frequent lecturer on the use of special committees in conflict transactions and in corporate investigations. Martin has served as a member of the Board of Trustees of the Delaware Art Museum and as a professional advisor to other charitable and community organizations.
Representative Matters
Successfully represented Bain Capital, Vornado, and KKR in Chancery Court litigation challenging their acquisition of Toys-R-Us, represented Examen Inc. in defeating the application of the California quasi-foreign corporation law to Examen’s Delaware statutory merger with Reed Elsevier, and represented a special committee of independent directors in connection with the sale of Cruzan International Inc. to The Absolut Spirits Company, Incorporated.
